Shareholder register. Digital, up to date, shareable.
A legally required register, kept by Nxchange as a regulated investment firm. Always up to date, shareable in one click.
- Legally required
- Via Nxchange
- Audit-proof
- Instantly shareable

Every Dutch company is legally required to keep a shareholder register (Article 2:194 of the Dutch Civil Code). In practice, most BVs keep it in an Excel file, or nowhere at all. That becomes painfully visible as soon as an investor or lawyer asks during due diligence: 'can we see the current register?'
With Digital Notary your register is digital and audit-proof from day 1. It is kept by Nxchange as a regulated investment firm, so lawyers and investors recognise the format straight away.
What's included.

Frequently asked questions.
01Isn't an Excel file enough?
An Excel cap table is not a statutory shareholder register. In due diligence, the formal register is requested, not your spreadsheet. The Nxchange register is legally valid and recognisable.
02Who keeps the register?
Nxchange, a regulated investment firm, manages the register as a collective depot under the Dutch Securities Giro Transfer Act (Wet giraal effectenverkeer).
03Can I migrate an existing register?
Yes. An existing BV can migrate its cap table to the Nxchange register, separately from an incorporation. The setup depends on the complexity of your history.
