Set up a savings BV. Hold assets in your own BV.

A savings BV is an ordinary BV in which you hold assets rather than privately. We incorporate it notarially; the tax trade-off we leave to your own adviser.

A savings BV (spaar-BV, also written spaarbv) is not a separate legal form. It is an ordinary private limited company whose purpose is to hold and invest assets, rather than to run a business. You place savings or investments in the BV; the BV then owns them and you hold the shares.

We do the notarial part: the incorporation, the articles of association and the shareholder register. We don't give tax advice and we don't calculate whether a savings BV is more favourable than saving privately in your situation — that depends on the size of your assets, your expected return and that year's tax rules. Have your accountant or tax adviser make that comparison, then come back to us for the incorporation.

Capabilities

What's included.

  • Standard articles already cover this

The objects clause in our model articles of association already includes acquiring, managing and disposing of securities and other instruments, and lending money. So you don't need special articles for it; we fill in the primary objects to fit your situation. Using the model documentation costs nothing.

  • Register from day 1

A savings BV is also legally required to keep a shareholder register. With Pro B.V. that register is ready digitally as soon as the BV is registered.

  • Works together with a holding company

If you'd rather hold the shares through a holding company, we incorporate both entities in one process. That is Pro + Holding.

  • Adjust later if needed

You add shareholders with a share issue, from your own dashboard. Changing the objects in the articles of association is an amendment to the articles; you request that from us.

How it works

Step by step.

  1. Have your adviser run the numbers

First let your accountant or tax adviser decide whether a savings BV makes sense for you. We don't give that advice.

  2. Incorporate online

You enter your details, verify your identity digitally and sign the power of attorney. The notary partner executes the deed.

  3. Transfer your assets

After KvK registration you open a business account and transfer the assets. Your register is already in place by then.

FAQ

Frequently asked questions.

  • 01What exactly is a savings BV?

An ordinary BV that you use to hold savings or investments rather than to run a business. Legally it is not a special form; the difference lies in the objects in the articles of association and in what the BV actually does.

  • 02What are the downsides of a savings BV?

You get a company with obligations: annual accounts, a corporate income tax return and ongoing bookkeeping, even in a year with little return. Money in the BV is not freely spendable — you take it out via dividend or salary, and a distribution test applies to dividends. Licence fees keep running, and winding up costs time and money. Whether that outweighs the benefit is exactly the calculation your adviser has to make.

  • 03Will you calculate whether a savings BV is tax-efficient for me?

No. Digital Notary is a notarial service provider, not a tax adviser. We incorporate the BV and keep the register; the tax trade-off between saving privately and a savings BV we leave to your accountant or tax adviser.

  • 04How do I wind up a savings BV later?

By dissolving and liquidating the BV: the assets are distributed and the BV is deregistered from the KvK. That is a separate act with its own costs, so factor it in before you incorporate.

  • 05Which package do I need?

For a single shareholder without a digital register, Starter B.V. is enough. If you want the shareholder register kept digitally, Pro B.V. is the right choice. If you hold the shares through a holding company, that is Pro + Holding. Current prices are on the pricing page.
